This version applies from 4 October 2026. The team override covers one level only (direct team members) and is paid by Validento on top of the member's own commission. Compensation derives exclusively from genuine sales to real end clients, never from recruitment itself — see clauses 7 and 8.

"Program" means the Sales Program and/or the Affiliate Program, as applicable.
"Participant" means any person accepted as a Sales Agent or Affiliate.
"Sales Agent" means a Participant in the Sales Program, who actively approaches prospective Clients using the CRM, call scripts, and other materials Validento provides.
"Affiliate" means a Participant in the Affiliate Program, who shares a personal referral link through their own channels without individually approaching prospects.
"Team" means the group of Participants a given Participant has directly recruited and who remain linked to that Participant through the Program's team structure.
"Commission" means any amount payable to a Participant under clause 7.
"Deal" has the meaning given in the Terms & Conditions, and is "Closed" when Validento's verification team has completed final verification of the Deal in accordance with clause 6.4.
"Client" has the meaning given in the Terms & Conditions.
These Program Terms apply in addition to, and do not replace, Validento's general Terms & Conditions, which continue to govern every Service sold through a Participant's efforts. In case of conflict between these Program Terms and the general Terms & Conditions on a matter specific to the Program (e.g., Commission), these Program Terms prevail; on every other matter, the general Terms & Conditions prevail.
4.1 A Participant acts as an independent contractor, not as an employee, agent with binding authority, partner, or joint venturer of Validento. Nothing in these Program Terms creates an employment relationship, and a Participant has no entitlement to employee benefits, paid leave, social security contributions from Validento, or termination protections under employment law, except to the extent mandatorily required by the law applicable to the Participant's own jurisdiction.
4.2 Validento classifies this relationship in good faith based on the actual working arrangement described in these Program Terms. Depending on local law, the substantive classification of the relationship may differ from the label used here; Validento will adjust its practices as required by a competent authority or court in a specific jurisdiction, without that adjustment constituting an admission regarding any other jurisdiction.
4.3 A Participant has no authority to make representations about the Services beyond Validento's published materials, to agree to terms on Validento's behalf, or to bind Validento to any commitment toward a prospect or Client.
5.1 A Participant must have the legal capacity to enter into a binding contract and must not be a resident of, or operating from, a jurisdiction subject to comprehensive sanctions under applicable EU or U.S. law.
5.2 Application to the Sales Program requires completion of the onboarding training and certification described in clause 6. Application to the Affiliate Program generates a personal referral link immediately upon account creation, without a training requirement; a separate certification (clause 6.5) is required only to unlock the Affiliate Team function (clause 8).
5.3 Validento may decline an application at its discretion, and is not required to state a reason.
6.1 A Sales Agent must complete Validento's onboarding training modules and pass the associated assessment before gaining full access to the Sales Program's commission structure.
6.2 Where Validento publishes a new mandatory training module, a Sales Agent who has not completed it has no access to the free contact pool until the module is completed (clause 7.6). Not completing a training module does not reduce the Participant's commission rate.
6.3 A Sales Agent or Affiliate must act honestly and must not misrepresent what a Service does or guarantees beyond Validento's own published materials.
6.4 Every Deal submitted by a Sales Agent is subject to final verification by Validento's own staff, including confirmation that the stated contact exists and recognizes the Deal, before the Deal is treated as Closed for Commission purposes. A Deal pending verification does not generate Commission.
6.5 Certification for the Sales Team or Affiliate Team function (clause 8) requires completion of the full training curriculum applicable to that Program, including the sections addressing the prohibition in clause 7.3.
7.1 Basis. Commission is payable exclusively on the net amount of a Deal that has Closed in accordance with clause 6.4 and been paid by the Client. The net amount is the amount actually paid by the Client, excluding VAT and after any discounts and refunds. No Commission of any kind is payable on the basis of a Participant's recruitment of another Participant, independent of that recruit's own, later, Closed Deals.
7.2 Own commission. (a) Sales Program: a Sales Agent earns twenty percent (20%) of the net amount of every sale they personally originate. For one-off Services this is a one-time payment per Deal (for Foreign Company research, 20% of the quoted price). For monthly subscription plans, the 20% applies to every monthly payment the Client makes for as long as the Client keeps paying, with no limit on the number of payments. For Enterprise deals, the 20% applies to the net invoiced amount for twelve (12) months. (b) Affiliate Program: an Affiliate earns twenty percent (20%) of the net amount of every payment a referred Client makes for any Service or plan during twelve (12) months from that Client's first payment, not only the first payment. (c) A different rate agreed with a Participant in writing before this version took effect continues to apply.
7.3 Team override — no payment for recruitment. A Participant who has unlocked the Team function (clause 8) earns an additional amount equal to twenty percent (20%) of the Commission (recurring commission, sign-up bonuses and one-off commission) earned by their direct Team members. This override is paid by Validento on top of the Team member's Commission and is never deducted from it, and it is payable solely on Commission arising from real, Closed and paid Deals. No fee, payment, or mandatory purchase is ever required of a new Participant to join a Team, and the mere act of a new Participant joining a Team generates no Commission for anyone until that new Participant's own Deals Close. A Participant who solicits a payment from another person as a condition of joining a Team, or who represents that Commission is earned upon a recruit's mere sign-up, is in material breach of these Program Terms (clause 15.1).
7.4 Incentives. Validento may offer additional, time-limited or performance-based incentives, as published in the dashboard at the time the relevant performance is achieved. These currently include: (a) a monthly volume bonus: for each calendar month in which a Sales Agent or Affiliate has 10 or more recurring paying Clients, $200 for that month, or $1,000 instead with 25 or more, where a subscription Client counts once it has paid three (3) invoices; and (b) a call streak: while a Sales Agent makes 50 or more calls per day on 10 consecutive working days, and for as long as the streak continues, the rate on their recurring subscription commission rises from 20% to 25%; the streak rate does not apply to sign-up bonuses or one-off commission. Different incentives can apply in the same cycle and add up, unless stated otherwise; within one incentive with several tiers (such as the volume bonus), only the highest tier reached is paid.
7.5 Example calculations published by Validento in training or marketing material are illustrative only, based on stated assumptions, and are not a guarantee or prediction of any individual Participant's results.
7.6 Certification and the free contact pool. Access to the free contact pool requires the certification under clause 6.1 and completion of any mandatory training module (clause 6.2). A Sales Agent without that certification has no access to the free contact pool. Training status does not affect the commission rates in this clause 7.
7.7 No guarantee of income. Validento makes no representation or warranty regarding the income a Participant may earn under the Program.
7.8 Sign-up bonus (Sales Program). For each Client a Sales Agent signs to a monthly plan, the Sales Agent earns a one-time sign-up bonus of $150 for a Professional plan or $350 for a Business plan, paid after the Client's third (3rd) paid month on that plan. Where a Client upgrades from Professional to Business, the bonus is $200 (the difference) after the third paid Business month, provided the Professional bonus was already paid; otherwise the full $350 applies. The following conditions apply: (a) the third payment must fall within one hundred and twenty (120) days of the first payment; (b) trial links, free credit and partner accounts do not count as payments; (c) a Client that restarts with the same Sales Agent within sixty (60) days of cancelling does not generate a new bonus; (d) only one bonus is paid per Client per plan; (e) if one of the first three payments is refunded or disputed within sixty (60) days after the bonus is paid, the bonus is deducted from the Sales Agent's next payout (clause 11.5). The same figures apply in the currency shown in the dashboard.
8.1 A Participant who has completed certification under clause 6.5 may activate their own Team and invite other Participants to join it, at no cost to either party.
8.2 The Team override under clause 7.3 covers one level only: the Participant's direct Team members. No override is earned on Participants recruited by a Team member. The override is paid by Validento in addition to the Team member's own Commission and never reduces it.
8.3 A Participant may not represent the Program, in any marketing or recruitment material, as an investment opportunity, a guaranteed-income opportunity, or a scheme in which reward is tied to recruitment rather than to genuine sales of the Services.
9.1 A Sales Agent must log every contact and interaction in Validento's CRM in accordance with the training materials.
9.2 A Sales Agent must disclose, on every Deal submitted, a contact person's name, email address, and phone number, without which the Deal cannot complete final verification under clause 6.4.
9.3 A Sales Agent must not offer a discount, rebate, or any term not published by Validento, without Validento's prior written approval.
10.1 An Affiliate's promotion of the Program must be limited to passive channel placement — a bio, a video description, a newsletter to an existing opt-in audience, a blog post, or comparable placement where an audience encounters the Affiliate's link organically.
10.2 An Affiliate must not use the Affiliate link to individually target a specific prospect by direct message, cold email, or similar one-to-one outreach. A click on an Affiliate's link that Validento's systems detect as originating from an email client is subject to review; the Affiliate must, within 48 hours of notification, provide the reason for that click (including, where applicable, supporting evidence that it originated from a newsletter to an existing, opt-in audience). Failure to respond within that period results in the Affiliate's account being placed under review and any pending Commission being withheld until resolved.
10.3 An Affiliate must not purchase or use email lists, bots, or artificial means to generate clicks or conversions.
10.4 An Affiliate must not bid on the "Validento" brand name in paid search advertising. Other forms of paid promotion are permitted.
11.1 Commission is paid via the payment platform designated by Validento (currently Stripe Connect), for which the Participant must complete the required identity and tax information directly with that platform, or, at the Participant's choice, by bank transfer processed by Validento to the account the Participant provides in their dashboard, which may take longer.
11.2 Validento does not pay Commission to an account held in a jurisdiction subject to comprehensive sanctions under applicable EU or U.S. law. Payment to an account outside the EU/US may be subject to additional transaction costs, shown to the Participant before payment is made.
11.3 For the Sales Program, Commission is paid automatically in a monthly payout on the 1st of each month. Recurring commission and bonuses are included in the next monthly payout; commission on one-off Services becomes available thirty (30) days after the Client's payment, provided the payment has not been refunded. For the Affiliate Program, Commission becomes available thirty (30) days after the Client's payment, and the Participant may request payment of their available balance at any time via the dashboard, with no minimum amount; amounts tied to a click under review per clause 10.2 are excluded from the available balance until resolved.
11.4 The Participant is solely responsible for declaring Commission income to their own tax authority. Validento is not a tax advisor and, where legally required, will provide applicable tax forms via the payment platform.
11.5 Where a Client cancels a Deal, receives a refund or disputes a payment within the applicable period, the corresponding Commission (including, where applicable, a sign-up bonus under clause 7.8 and the related Team override) is clawed back. A negative balance resulting from refunds or clawbacks is offset against the Participant's future payouts.
A Participant may not, during their participation in the Program and for twelve (12) months after its termination, deal directly with a Client or prospective Client introduced through the Program for the purpose of providing competing document or identity verification services, or otherwise circumvent Validento in a transaction with that Client, without Validento's prior written consent.
13.1 Training material, call scripts, commission structures, CRM data, and other materials Validento provides remain Validento's property and may not be disclosed to a third party or used for any purpose outside the Program.
13.2 A Participant must keep confidential any non-public information obtained through the Program, including Client data accessed via the CRM, and must comply with Validento's Privacy Policy regarding any personal data the Participant handles in the course of the Program.
14.1 Validento operates a tiered level structure (currently: Junior Sales Representative, Senior Sales Representative, Account Executive, Sales Manager, Sales Director, Vice President of Sales), with criteria and benefits as published in the dashboard. Promotion to Sales Director or Vice President of Sales is never automatic and is granted solely at Validento's discretion, based on a recommendation that a Participant meets the published criteria.
14.2 A Participant who reaches a level marked as equity-eligible in the dashboard may be considered by Validento for equity participation in Validento. Eligibility under this clause creates no right to equity. Any actual grant of equity, if Validento decides to proceed, is made exclusively through a separate, individually negotiated and legally executed agreement outside the scope of, and not governed by, these Program Terms.
15.1 Validento may suspend or terminate a Participant's account with immediate effect, without prior notice, for: material breach of clause 7.3, 9, or 10; submission of a fraudulent or fabricated Deal; misrepresentation of the Services to a prospect; or any conduct Validento reasonably considers to bring the Program or Validento into disrepute.
15.2 Commission properly earned on Deals that Closed before termination remains payable in accordance with clause 11, subject to the clawback provision in clause 11.5.
15.3 A Participant may terminate their participation at any time by written notice to Validento; outstanding Commission is settled in accordance with clause 11.
15.4 After termination by Validento or resignation by the Participant, recurring commission on subscription Clients continues for three (3) months after the end date (for Affiliates, never beyond the twelve-month period of clause 7.2). After that it stops, and those Clients are transferred to Validento's house account. Inactivity alone does not end recurring commission; an inactive Sales Agent keeps their recurring commission, and only their open contacts return to the free contact pool.
16.1 Validento's total liability to a Participant under these Program Terms is limited to the amount of Commission properly due and unpaid at the time the claim arises. Validento is not liable for a Participant's loss of anticipated future Commission, business opportunity, or any indirect or consequential loss.
16.2 A Participant indemnifies Validento against any claim, loss, or liability arising from the Participant's breach of these Program Terms, including any misrepresentation made to a prospect or Client, or any unlawful processing of personal data by the Participant outside Validento's own systems.
Neither party is liable for a failure or delay in performance caused by circumstances beyond its reasonable control, including failures of third-party infrastructure (the payment platform, cloud providers) on which the Program depends.
Validento may update these Program Terms from time to time, with reasonable prior notice of a material change. Continued participation in the Program after a change takes effect constitutes acceptance of the updated terms.
This version of the Program Terms takes effect on 4 October 2026. Commission, bonuses and incentives on payments made before that date follow the previous version of the Program Terms.
Validento may assign these Program Terms in connection with a merger, acquisition, or sale of assets. A Participant may not assign their position in the Program, including their Team, without Validento's prior written consent. If any provision of these Program Terms is held invalid, the remaining provisions continue in full force.
These Program Terms, together with Validento's general Terms & Conditions and Privacy Policy, constitute the entire agreement between the Participant and Validento regarding the Program, and supersede any prior understanding on the same subject.
These Program Terms are governed by Spanish law. The courts of Valencia have jurisdiction, without prejudice to any mandatory protection a Participant may have under the law of their own jurisdiction. In case of discrepancy between language versions, the Spanish version prevails.
